Swarmer signed a purchase agreement to acquire 100% of Ratel Robotics. The deal includes an estimated $7.2 million cash payment and 1,064,942 shares at closing, plus up to $7.2 million in cash earnouts and up to 4,422,125 performance-based shares.
Swarmer has agreed to acquire Ratel Robotics, a Ukrainian unmanned ground vehicles manufacturer, in a cash and stock deal worth up to $224M if all earnout milestones are met. Closing remains subject to customary conditions and required legal, regulatory and shareholder approvals.
