Northern Star said Gold Fields' unsolicited offer valued the Australian miner at A$38.7 billion and implied A$27.00 per share on September 14. The company said the revised A$25.19 per share consideration and deal conditions undervalued its portfolio and carried higher jurisdictional risk.
Northern Star said the unsolicited proposal valued it at A$38.7 billion and would have paid 0.3125 Gold Fields shares plus A$7.25 cash per share.
