13 October 2026 SecondPass Research Ltd ("SecondPass" or the "Company") Intention to seek Admission to trading on the AIM Market of the London Stock Exchange SecondPass Research Ltd (to be re-registered as SecondPass Research plc prior to Admission), an AI research and software development company targeting professional audio for film, television and advertising, announces its intention to seek admission of its entire issued and to be issued ordinary share capital to trading on the AIM Market of the London Stock Exchange ("AIM") ("Admission").
0 million through its Corporate Broker, AlbR Capital Limited, via a placing of new Ordinary Shares (the "Placing") and an offer to retail investors through the RetailBook platform at the same price (the "Retail Offer"). Full details of the proposed Retail Offer will be announced separately when it opens for applications. The net proceeds will be used to fund the commercial launch of the SecondPass platform. It is expected that Admission will become effective in Q4 2026.
Highlights SecondPass develops software and AI models, purpose built for one of the last major creative markets yet to be transformed by AI: professional sound for film, television and advertising. The Company has developed proprietary AI tools that analyse digital video and construct professional, fully editable sound design sessions in a fraction of the time required by traditional manual workflows, whilst keeping the sound editor in complete creative control.
The Company’s founder, Anthony Matchett, has created patent-pending technology that combines three proprietary AI engines covering visual analysis, intelligent sound retrieval and professional assembly, delivering a complete, synchronised and fully editable sound design session in professional formats. The SecondPass Platform is currently deployed in alpha testing with professional post-production partners and sound designers in advance of a full commercial launch. In testing, SecondPass has proven to be over 30x faster than traditional audio post-production methods. 09 billion by 2034 (source: Verified Market Reports).
The Company believes it is the first company to develop scalable artificial intelligence and machine learning powered tools that address the requirements of sound professionals and global content creators. 0 million before expenses through the issue of new Ordinary Shares The net proceeds of the Placing will fund the commercial launch of the SecondPass Platform. The Directors expect the net proceeds to take the Company through to EBITDA breakeven without the need for further equity funding.
The Company has received advance assurance from HMRC that the new Ordinary Shares should be eligible for EIS relief and the Directors believe the new Ordinary Shares should be a qualifying holding for VCTs. Anthony Matchett, Chief Executive Officer and Executive Chairman of SecondPass, commented: “We are delighted to announce our intention to seek admission to AIM. It is an important milestone for SecondPass and will provide access to the London capital markets as we seek to redefine the audio post-production industry. “Streaming platforms and broadcasters invested US$251 billion in content in 2025, which is expected to reach US$255 billion this year.
Every film, series and TV programme behind those figures needs sound, with more and more content being created on an annual basis. “Professional sound design remains one of the most labour-intensive parts of content production and post-production and despite the rapid adoption of artificial intelligence across other creative disciplines, tooling for professional sound had not seen similar innovation prior to SecondPass. We have built SecondPass specifically for professional users and creatives working with sound and audio.
Our technology analyses moving image, identifies the sounds required using proprietary AI models and assembles a complete, editable sound design session compatible with the tools and workflows that sound professionals already use. “SecondPass produces that session in a fraction of the time taken by traditional processes, which are manual and highly repetitive. This frees highly skilled sound editors and designers to spend their time on creative decisions and to deliver their projects more efficiently and at lower cost.
” Key Strengths 1 (#_ftn1) The Directors believe the success of the Company to date and its expectations for future development are founded on the following key strengths: Early-mover position: the Directors believe SecondPass is the only professional-grade solution currently applying artificial intelligence to sound design for motion picture, with no known competitors; Operational technology: the SecondPass Platform is an integrated cloud-based sound design suite deployed in alpha with professional partners that delivers visual analysis, intelligent sound retrieval and professional assembly on live professional content; Proprietary technology: the SecondPass Platform and its models are developed, trained and operated in-house using proprietary data and patent-pending technology.
09 billion by 2034 (source: Verified Market Reports). Streamers and broadcasters invested US$251 billion in content in 2025 (source: Ampere Analysis), and every film, series and programme needs sound.
Rationale for Admission The Directors believe that Admission to AIM will provide SecondPass with a number of potential benefits, including: providing access to the London capital markets to support the Company's commercial launch and future growth; broadening the Company's shareholder base and increasing its visibility amongst institutional and other investors; supporting the Company's ability to attract and retain employees through an appropriate public-company share-based incentive structure; providing a public market platform as the Company develops its commercial relationships and enterprise customer base; supporting the Company's continued development with the corporate governance and transparency requirements associated with an AIM quotation; and enabling the Company to use its quoted shares as consideration for future acquisitions.
