Beasley Broadcast prices USD 5 million direct offering of 357,000 Class A shares at USD 14

Beasley Broadcast Group priced a USD 5 million registered direct offering of 357,000 Class A shares at USD 14.00. A concurrent private placement will issue unregistered warrants for up to 357,000 shares exercisable at USD 15.00, exercisable six months after issuance and expiring 5.5 years from issuance. Closing is expected around Sept. 30, 2026, subject to customary conditions; net proceeds will be used for debt reduction, including revolving credit borrowings and redemption of 11.000% Senior Secured First Lien Notes due 2028.
