Transom Capital to buy SoundThinking for $8 a share plus CVR up to $3

Transom Capital Group agreed to acquire SoundThinking for $8.00 cash per share and a contingent value right worth up to $3.00, with deal value rising from about $114 million to about $159 million if the CVR pays out.
