Spruce Power board director resignation effective Sept. 18

Spruce Power clarified that Clara Nagy McBane’s board resignation became effective Sept. 18, 2026 once conditions were met. Benjamin Rosenzweig joined the board as a Class B director on Sept. 18, 2026 to fill the vacancy. McBane’s 93,678 unvested RSUs will vest immediately, with share delivery deferred until results release, Dec. 15, 2026, or a change in control. Rosenzweig received RSUs valued at USD 225,000, based on the Sept. 18, 2026 closing stock price.
