Gentherm to issue ~2.9M shares after exchange ratio tweak

Gentherm will issue about 2.9M new shares after an exchange-ratio tweak, trim SpinCo cash to $159M, and pay Modine holders a $1.90/share special dividend at an Oct. 1 close. JP Morgan upgraded THRM from Neutral to Overweight.
