Axogen to acquire BioCircuit for $200 million in cash

Axogen Inc. agreed to acquire BioCircuit Technologies Inc. for $200 million in cash, integrating NerveTape into its surgical solutions. To finance the purchase, it launched an underwritten public offering of 4.91 million shares at $42.50 each, expecting about $208.7 million in gross proceeds.

Axogen Inc. said on Thursday it agreed to buy privately held BioCircuit Technologies Inc. for $200 million in cash. The deal brings BioCircuit's NerveTape, described as the first FDA-approved sutureless nerve repair device, into Axogen's surgical portfolio for peripheral nerve restoration.

Axogen said it plans to use any remaining net proceeds for general corporate purposes, including working capital and capital expenditures. Axogen said the BioCircuit acquisition should make the technology available to more surgeons and medical facilities, with the company expecting its hospital network and direct sales force to speed adoption.

The company said the deal is expected to lift revenue growth, adjusted earnings per share and adjusted EBITDA margins in the first year after closing, while keeping positive free cash flow. Axogen also said the addition could serve as a platform for future expansion into new medical indications. The companies aim to complete the transaction in the fourth quarter of 2026. After closing, Axogen plans to provide updated full-year 2026 and 2027 guidance.
